Cease Marks
    
           
forthwith cease using the Marks and the Confidential Information;
   
       
(d)   

Return Goods
   
forthwith return the Operations Manuals, Training Manuals and or materials, Programs and or Tapes, Booklets, Security Passes, Uniforms, Kits, Stock, Chemicals, whether generated by the Company or Third Parties and all stationery,  signs and any other documents and or materials bearing the Image and Marks of the company or any other matter that the company may request from time to time;
   
         
       
(e)   

Telephone, Fax and Email Transfer
   
forthwith, at the option of the Company cancel or transfer to the Company any telephone number (including mobile phone number) facsimile number, email description and other published or printed listings identifying the Business with the System;       
           
   
(f)   

Agreements
   
assign to the benefit of the Company or its nominee the full rights and entitlement of the Regional Franchisor to any Agreements then held by the Regional Franchisor and or the Sub-Franchisees current at that time.
   
   
(g)   

Plant And Equipment

if so required by the Company to sell to the Company or its nominee such plant and equipment of the Regional Franchisor used in the conduct of the Business as the Company may require.  The Company shall, by notice in writing, advise the Regional Franchisor of its exercise of this option within 21 days of the date of Discontinuation or expiration of this Deed and shall propose a purchase price.  If the Company and the Regional Franchisor are unable to agree a purchase price for equipment required by the Company, both parties shall accept as binding the market value to be determined by a valuer chosen by the Chairperson of the Chartered Accountants situated in the Region. The parties shall each bear one half of the fees of the valuation;
